TERMS AND CONDITIONS OF USE OF THE ICESH SITE IMPORTANT ! PLEASE READ THIS ENTIRE AGREEMENT CAREFULLY BEFORE USING. "YOU," "YOUR," "USER(S)," OR "CUSTOMER(S)" REFER TO THE END-USER OR USERS OF THE SERVICES THAT ARE PROVIDED ON OR THROUGH THIS SITE. "PROVIDERS" REFERS TO THIRD PARTY CONTENT PROVIDERS INCLUDING AUTHORS, RESEARCHERS, AND SCIENTISTS WITH WHOM RSI HAS PUBLICATION SUBMISSION CONTRACTS TO CONTRIBUTE ENVIRONMENTAL HEALTH AND SAFETY INFORMATION ("ARTICLES") THAT RSI CONSIDERS TO BE OF INTEREST TO INDUSTRY PROFESSIONALS AND THE GENERAL PUBLIC AND THEREBY MAKES AVAILABLE THROUGH THIS SITE. EACH OF BGRI, RSI, AND YOU IS REFERRED TO AS A "PARTY", AND COLLECTIVELY ARE THE "PARTIES". FOR PURPOSES OF THIS AGREEMENT, THE TERM "ICESH" SHALL REFER TO RSI AND BGRI COLLECTIVELY. Such updates, revisions, supplements, modifications, and additional terms and conditions shall be effective immediately upon notice thereof, which may be given by any reasonable means including posting to this Site. Continued use of this Site following such notice shall be deemed to conclusively indicate Your acceptance of any such updates, revisions, modifications, and additional terms and conditions. 2. Changes to this Site. ICESH reserves the right at any time and from time to time to modify or discontinue, temporarily or permanently, this Site (or any part thereof) with or without notice and in its sole discretion. This includes the right to modify, discontinue, or remove any content, links, pages, services, or other materials available on or through this Site at any time and for any reason. You agree that ICESH shall not be liable to You or to any third party for any modification, suspension, or discontinuance of this Site. 3. Provider Information Through RSI. ICESH will make Articles and the Services available to its Customers through this Site. ICESH does not act as an agent on behalf of Providers that offer Articles through this Site. ICESH makes no representations on behalf of Providers, nor is ICESH responsible for any of the statements, actions, or omissions of Providers or other third parties. 4. Responsibilities of the Parties. ICESH SERVICE RESPONSIBILITIES. Privacy. ICESH reserves the right to modify or discontinue the Services at any time in its sole discretion, including by modifying or discontinuing any feature or offering of the Service. Registration-related data and certain other information about You or that You may post or transmit to ICESH via this Site or the Services are subject to ICESH’s Privacy Policy then in effect. ICESH will use reasonable efforts to insure that the Services that ICESH offers at this Site is available for Your use; however, ICESH makes no guarantee that the Services at this Site will be available 24 hours per day, 7 days a week, or that the Services will be error-free or uninterrupted. Errors may include but are not limited to site interruption, server downtime, errors in coding, and product malfunction. Security. You Will Not Knowingly Violate ICESH’s Security. IN ANY EVENT, THE AGGREGATE LIABILITY OF ICESH FOR ANY REASON AND UPON ANY CAUSE OF ACTION (INCLUDING NEGLIGENCE, STRICT LIABILITY, AND OTHER ACTIONS IN CONTRACT OR TORT) WILL BE LIMITED TO DIRECT DAMAGES NOT TO EXCEED THE TOTAL AMOUNTS, IF ANY, PAID BY YOU TO ICESH FOR YOUR USE OF THIS SITE OR THE SERVICES OR ANY WEB SITE WITH WHICH IT IS LINKED. YOU FURTHER AGREE THAT THE FOREGOING LIMITATIONS WILL APPLY EVEN IF YOU HAVE MADE NO PAYMENTS TO ICESH HEREUNDER. Indemnity. Upon request by ICESH, You agree to indemnify and hold ICESH harmless, and defend, ICESH from and against any claim, demand, cause of action, debt, loss or liability, including reasonable attorneys’ fees, to the extent that such action is based upon or arises out of Your use (or inability to use) this Site or the Service, any transactions (or attempted transactions) via this Site or the Service, and any other activities of You with this Site or the Service. ICESH reserves the right, at ICESH’s own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by You, in which event You will cooperate with ICESH in asserting any available defenses. 11. Compliance with Laws. You may only use the Site for lawful purposes only. The Site is subject to, and You agree that You shall at all times comply with all applicable local, state, national, and international laws, statutes, rules, regulations, ordinances and the like applicable to the use of the Site. This obligation includes Your agreement to comply with all applicable laws, regulations, and rules relating to the export of technical and other data from the United States (and from Your locality if You are not located in the United States) and will not export or re-export any such data or any other content or materials in violation of such laws, rules, or regulations without first obtaining all necessary licenses, consents, and approvals therefore, as well as authorization therefore from ICESH. 12. Dispute Resolution. Except with respect to proprietary rights and obligations with respect to confidentiality, including the right of a Party to apply to a court of competent jurisdiction for a Temporary Restraining Order, Preliminary Injunction, or other equitable relief to preserve the status quo or prevent irreparable harm, and except for the right to bring suit on an open account for simple monies due under this Agreement, all claims, disputes, controversies, and other matters in question between the Parties to this Agreement, arising out of, or relating to this Agreement, or the breach thereof, will be settled by binding arbitration in accordance with the Commercial Rules of the American Arbitration Association then in effect. The arbitration proceeding will be held in Maryland, USA. The cost of the arbitration will be borne equally by the Parties pending the arbitrator's award. The prevailing party in any arbitration proceeding or litigation hereunder will be entitled, in addition to such other relief as may be granted, to recover reasonable attorney's fees and the costs incurred in connection with arbitration or litigation under this Agreement. 13. Applicable Law. The Site and the Services are controlled by ICESH from within the state of Maryland, USA, although it may be accessed and used throughout the world. By accessing or using this Site or the Service, You and ICESH each agree that the laws of the state of Maryland, USA will govern with respect to all matters relating to or arising from the use (or inability to use) this Site and/or the Services, and that such laws will apply without regard to principles of conflict of laws. Subject to the dispute resolution procedures set forth above, You and ICESH agree, and hereby submit to the exclusive jurisdiction and venue of, the appropriate State and Federal courts located in Maryland, USA with respect to such matters. 14. Miscellaneous Terms. These Terms contain the entire understanding between the Parties with respect to this Site and the subject matter addressed herein, and govern Your use of this Site, superseding any prior agreements between You and ICESH relating to such subject matter. No representation, statement, inducement whether oral or written, not contained herein will bind the Parties. Notwithstanding the foregoing, You acknowledge and understand that You also may be subject to additional terms and conditions that may apply when You use affiliated services, or otherwise access third party Web sites, third-party content, or third-party software. The failure of ICESH to exercise or enforce any right or provision of this Agreement shall not constitute a waiver of such right or provision. If any provision of this Agreement is found by a court of competent jurisdiction to be invalid, the Parties nevertheless agree that the court should endeavor to give effect to the Parties' intentions as reflected in the provision, and the other provisions of this Agreement remain in full force and effect. You agree that regardless of any statute or law to the contrary, any claim or cause of action arising out of or related to the Site must be filed or otherwise commenced within one (1) year after such claim or cause of action arose or be forever barred. The section headings used in these Agreement are for convenience only and have no legal or contractual effect.
